Initial Registration
Registration Maintenance
The Global Gateway team, where appropriate, will assist with the following: The on-going maintenance service offered by the Global Gateway team follows on from the initial registration/marketing in a particular jurisdiction and may include the following:
Identification of key local requirements to be met and documents required to complete a registration application or commence marketing, including consideration of any permitted activities that fall out of scope; Reporting on updates to local regulatory requirements;
Preparation of a registration timeline;; Filing of updated documentation (e.g. KIDs, offering documents, constitutional documents, shareholder notices) with local regulators and local agents;
Recommending and liaising with local service providers on the basis of an extensive network of relationships including legal counsel, paying and/or information agents and tax advisors; Notification of amendments to the information regarding the arrangements intended for marketing;
Preparation and submission of registration applications, where required to the relevant regulatory authorities; Advising on the steps and processes required to be followed in order to de-register/remove a marketing permission in a particular jurisdiction;
Assisting with the preparation of any local country supplement and reviewing any local agent or information agreements, in line with home state regulatory requirements; High level updates on material regulatory developments in the relevant jurisdiction;
Co-ordinating the payment of registration fees and similar fees per country; Advising on general and non-complex questions regarding the notification;
Managing contact with each of the relevant regulators, as appropriate, in order to ensure that requirements are met in a timely manner. Regular calls with your distribution / legal team in relation to the target country to discuss applicable requirements and status of registrations;
Assisting with the preparation of pre-contractual ESG disclosures to meet local requirements and the formation of policies and procedures in order to be able to meet those requirements;
Ensuring timely ESG performance reporting in applicable jurisdictions.
