James advises on all aspects of share incentives and assists clients in a range of sectors and at different stages of maturity - from start-ups to FTSE100 companies.
James has significant experience advising UK listed companies on the adoption of new share plans and the associated regulatory requirements, the UK Corporate Governance Code and the expectations of UK institutional investors. He also advises early-stage and PE-backed companies on implementing tax-efficient EMI option and growth share arrangements.
James also advises companies in the financial services sector on structuring both cash- and equity-based variable compensation arrangements to comply with applicable regulatory obligations, and has assisted a number of FS clients in implementing and enforcing clawback arrangements on remuneration.
James also has extensive transactional experience, advising clients on both the buy-side and sell-side in preparing for M&A transactions and IPOs, and assisting them in managing the impact of those transactions on employee incentives and implementing new incentive arrangements.
